Terms of Service

These Terms of Service govern your access to and use of LightEgg, including our website, applications, APIs, and related services for restaurant and business operations. By accessing or using LightEgg, you agree to these Terms.

Eligibility and Authority

You may use LightEgg only if you can form a binding contract and, if you use the service on behalf of a company or other organization, you have authority to bind that organization to these Terms.

Accounts and Organization Workspaces

You are responsible for:

  • providing accurate account and billing information;
  • safeguarding login credentials and authentication devices;
  • configuring user access within your organization appropriately; and
  • all activity that occurs under your account or organization workspace.

You must notify us promptly if you believe your account or workspace has been compromised.

Use of the Service

Subject to these Terms, LightEgg grants you a limited, non-exclusive, non-transferable, revocable right to access and use the service for your internal business operations.

You agree not to:

  • use the service for unlawful, fraudulent, or misleading activity;
  • interfere with or disrupt the service, security features, or infrastructure;
  • access the service to build a competing product or scrape data without authorization;
  • upload malware, harmful code, or content that violates the rights of others;
  • attempt to bypass rate limits, access controls, or workspace restrictions; or
  • use AI or automation features in a way that violates law, third-party rights, or these Terms.

Third-Party Services

LightEgg integrates with third-party services (for example payment processing, authentication, hosting, analytics, error reporting, and optional AI providers). Your use of those integrations may be subject to the third party's terms and privacy notices in addition to ours.

Customer Data

As between you and LightEgg, you retain rights to the business data and content you submit to the service. You grant LightEgg a limited license to host, process, transmit, display, and back up that data only as needed to provide, secure, support, and improve the service in accordance with our Privacy Policy.

You are responsible for ensuring you have the rights and permissions needed for any data you upload or share through LightEgg.

AI Features

Some features may use third-party AI providers to process prompts, instructions, and related content you submit. AI-generated outputs may be incomplete or inaccurate and should be reviewed by a human before being relied on for operational, financial, legal, or safety-critical decisions.

Billing and Paid Plans

If you subscribe to a paid plan or purchase credits:

  • you authorize us and our payment processors to charge the payment method you provide;
  • fees, renewal terms, credit amounts, and usage limits are described at checkout or in the applicable plan details;
  • unless stated otherwise, fees are non-refundable;
  • taxes, duties, and similar government charges are your responsibility unless required to be collected by us; and
  • we may suspend access to paid features for failed or overdue payments.

We may change pricing or plan features prospectively by giving notice through the service, website, or billing contact information.

Trial, Beta, and Preview Features

We may offer trial, beta, or preview features. These may be changed, limited, or discontinued at any time and may be provided with reduced support or functionality.

Intellectual Property

LightEgg, including its software, design, branding, documentation, and related materials, is owned by LightEgg or its licensors and is protected by intellectual property laws. Except for the limited rights expressly granted in these Terms, no rights are transferred to you.

Feedback

If you provide suggestions, ideas, or feedback about LightEgg, we may use them without restriction or compensation to you.

Suspension and Termination

We may suspend or terminate your access if:

  • you breach these Terms;
  • your use creates security, legal, or operational risk;
  • payment is overdue; or
  • we are required to do so by law.

You may stop using the service at any time. Upon termination, your right to use LightEgg ends immediately, but sections that by their nature should survive termination will continue to apply.

Disclaimers

LightEgg is provided on an "as is" and "as available" basis. To the maximum extent permitted by law, we disclaim all warranties, whether express, implied, statutory, or otherwise, including implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement.

We do not guarantee that the service will be uninterrupted, error-free, fully secure, or suitable for every use case.

Limitation of Liability

To the maximum extent permitted by law, LightEgg and its affiliates, officers, employees, agents, suppliers, and licensors will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for any loss of profits, revenues, goodwill, data, or business opportunities.

To the maximum extent permitted by law, the total liability of LightEgg for claims arising out of or relating to the service or these Terms will not exceed the amounts paid by you to LightEgg for the service during the 12 months before the event giving rise to the claim.

Indemnity

You agree to defend, indemnify, and hold harmless LightEgg and its affiliates, officers, employees, and agents from claims, damages, losses, liabilities, and expenses arising from:

  • your use of the service;
  • your data or content;
  • your violation of these Terms; or
  • your violation of any law or third-party right.

Changes to the Service or Terms

We may modify the service or these Terms from time to time. If a change is material, we will post the updated Terms and update the effective date above. Continued use of LightEgg after the updated Terms take effect means you accept them.

Governing Law

These Terms are governed by the applicable laws of the jurisdiction from which LightEgg provides the service, excluding conflict-of-law rules, unless a different governing law is required by applicable law or agreed in writing.

Severability

If any provision of these Terms is held invalid or unenforceable, the remaining provisions remain in full effect.

Entire Agreement

These Terms and our Privacy Policy govern your use of the service. If you have a separate written agreement with LightEgg that expressly overrides these Terms, that agreement controls to the extent of any conflict.
